						 <p>Very helpful indeed. Thanks, spike, for giving some input.</p> <p>Okay, so here is the situation, as it seems to me:</p> <ul> <li>Incorporation as a legal entity would cost a huge chunk of money upfront and require ongoing annual fees to maintain that legal status.</li> <li>BUT, incorporation as a legal entity would allow for a &quot;neutral party&quot; to hold any monies or respond to any legal issues that affect the site. In essence, it adds a layer of protection for Staff/Admins in the event that Something Bad occurs.</li> <li>BUT, if we don't plan on the site ever selling any &quot;official&quot; merchandise or whatnot<sup class="footnoteref"><a id="footnoteref-909764-1" href="javascript:;" class="footnoteref" >1</a></sup>, then the monetary protections are distinctly more costly and more trouble than they're worth.</li> <li>Basically, if we couldn't fund any legal maintenance fees with income generated by the site itself, then this would be a massive net loss to SOMEONE on Staff. We also have to keep in mind the hosting &amp; bandwidth fees that would be incurred if/when we finally transition to PF. If it comes down to choosing between paying for PF vs paying for incorporation fees, I choose PF.</li> </ul> <p>What I'm getting from all this is that incorporation is going to be far more hassle and trouble than it's worth unless we A) are collecting some form of income for the wiki and B) feel that everyone with possible access to that income is trustworthy to handle it appropriately.</p> <p>Is anyone else getting any different conclusions from <em>this particular discussion</em>? I'm not getting into how we would handle money or any of that right now, just the summary of incorporation viability.</p> <p>Personally, based on spike's input and the discussion we've had so far, I now think that incorporation would be a bad idea at this time.</p> <div class="footnotes-footer"> <div class="title">Footnotes</div> <div class="footnote-footer" id="footnote-909764-1"><a href="javascript:;" >1</a>. 						 <p>Well, I'd suggest looking at other semi-large sites that grew or are structured somewhat similar to ours? Find out which ones work, and which ones don't, take notes about their structure, and how they handle funds. A possible good source of this are large RP sites and forums.</p> <p>Also, a point that no one has brought up, if donation becomes that much of a problem, what is our stance towards advertisement? Are we going to go full Wikipedia sans total advertisement, or is there room for advertising footers at the bottom of articles? Personally, I can see the pros and cons of both, though I'd like to remain advertisement free.</p>

						 <p>I'm in agreement with Quik, here. We're reaching (or have already reached!) a tipping point, at which our online profile is significant enough that we're attracting the attention of professional companies/organizations, not just small e-stores. We <em>need</em> some sort of official organization (formal or informal) to be able to present a public face to these companies.</p> <p>Based on input from Aelanna and Troy, I suspect that our current best bet is to use Paypal as our money host w/ clearly dilineated rules and public records on how the money is used. I also feel like we should have a specific number of designated individuals who will act as the Staff/community mouthpiece. I had initially suggested forming a non-profit or something along those lines because I thought that was the best was to incorporate, but given other options, I agree that incorporation would be a poor decision at this point.</p> <p>I like the mission statement/goal that Quik has here.</p>

The next raised $109.51, which went to Dreamhost (a recurring payment of $119.40). That accounts for all funds deposited to my PayPal account.</p> <p>EDIT: Dreamhost is the hosting service I paid for when we were looking for hosting the new site. The idea was to test different wiki softwares to decide what we wanted to do. Project Foundation has supplanted that role since then.</p>

I believe that's for legal protection, and I don't think it would serve that purpose particularly well, though I will certainly bow to the opinions of those who know what they're talking about.</p> <p>Money? We need money for Project Foundation (which is what we need long-term to get off Wikidot and make any number of changes that the community has wanted). Specifically, to fund the cost of the servers for the website (assuming we use volunteer labor to actually build it), and to cover the costs of legal consultations. Likely other concerns as well, but others who know more should weigh in here.</p> <p>Obviously, we would need money for incorporation as well, but we would need a huge pile of money to accomplish that <em>on top of</em> what we would already need to fund.</p>

						 <p>Guys, I think y'all are over-complicating the ideas of incorporation and non-profit status. We have the professional opinions of not one but <strong>two</strong> lawyers (holy fuck, Troy, that is so far into the category of above and beyond&#8230; thank you for doing that) as well as someone with pretty extensive real-world experience (see Aelanna's posts above) saying that incorporating and attempting to obtain non-profit status are, at <strong>best,</strong> more trouble than they're worth. I'm inclined to listen to the opinions of the experts (if you're not going to listen to them, why the fuck are you paying them that much money?)&#8212; neither incorporation nor non-profit status are viable options right now.</p> <p>Now for something completely radical, something that's been almost completely absent through this whole process: a goal. As in, a statement that explains just exactly what staff are trying to achieve. Something we can point to when people ask why? So, here's my stab at it:</p> <p>&quot;To create an entity that will be responsible for the growth, development, and stewardship of the fictional universe of the SCP Foundation, its website and officially-affiliated media, and its community.&quot;</p> <p>Does that sound about right? 						 <p>The extent of my knowledge about this involves a few business classes, one of which I took prompted by the question this site has faced for the last few years. So it's not a ton. But it's led me to rather strongly feel that incorporation is a very bad idea, at the very least because of the low payoff combined with <em>extremely high amounts of money involved</em>, and the fact that it may not serve for legal protection regardless depending on how things shake out. But again, I'm not an expert.</p> <p>Plus I just don't think we're well-suited presently to handle becoming a business. I think these questions are important ones if Project Foundation is ever going to happen &#8212; in other words, I <em>am</em> concerned about the issue &#8212; but I don't think this is the solution.</p> <p>But I will fully admit I don't know the solution to this problem. I do believe that we're going to need PF at some point, and the alternative is for the site to either eventually get disappeared off wikidot (with no free alternative that we're aware of) or die down to the point where it doesn't matter because death by stagnation has already occurred anyway. After about an hour of strenuous backtracking and link-following, I found <a href="http://www.irs.gov/publications/p557/ch03.html#en_US_2013_publink1000200110">this</a>. 						 <p>Both lawyers that I've spoken to &#8212; and paid money to speak to &#8212; have said that forming a non-profit was a possibility, but the cost involved is actually higher than one would expect and the work involved is not insignificant. I, personally, don't care for the idea, but if that's just me, I'll put aside some more cash to talk to people about this again.</p> <p>Aelanna is correct that, with very strict accounting procedures and limited access to funds, it is possible for multiple people to have access to the information and process things, but frankly, I'd rather have that done professionally, which &#8212; again &#8212; takes money to do.</p> <p>So, my question is now this: <strong>would the site staff sincerely like to do this, or do they think it is currently too much?</strong> Keep in mind that I will be paying for the legal consulting fees out of my own pocket, so don't simply say 'Yes' because everyone else is. This is my money, so I take it quite seriously.</p> <p>If you think incorporation is a bad idea, speak up. If you think it's a good idea, speak up. I want actual opinions, since currently, it seems to just be five or six people concerned about the issue.</p> <p><strong>Side Note</strong>: I agree that for the junior staffers currently working with the site, a lot of them have been left to their own devices. This is partially my fault, as I intended to shepherd the system a bit more intensely, and was forced by real life to spend a lot of time not-doing-that. I see that my summer is going to be busy. But if we don't funnel it to a specific person, we'd <em>HAVE</em> to have a front<sup class="footnoteref"><a id="footnoteref-456677-1" href="javascript:;" class="footnoteref" >1</a></sup> of some sort to act as the receiver. And I brought up the matter of payment, not because I <em>want</em> to get paid for this, but because I think we'd be <em>required</em> to do so if we incorporate. I'm pretty sure that there aren't any official businesses or non-profits in the world that are run by a staff made up entirely of unpaid volunteers. I fully agree that any monies that we take in should primarily go towards site maintenance/upkeep, however.</p> <p>As for us not needing a large staff for the technical side of things if/when we get our own site architecture, I'll take you word for it since I'm by no means a technical person. But even if we would only need a single site maintainer, we would still need someone to handle the forward-facing and off-site side of things. Any money raised should be put directly towards actual site improvement and maintenance, such as the resources we would be using if we moved off of Wikidot. The mere idea that we're debating who the money would go to is off-putting; it suggests that we're completely off-base and still not really understanding why this was an issue in the first place.</p> <p>Another issue I'd like to bring up by way of tangent is that the idea that we'd need to balloon the staff to keep up is similarly absurd. When system administrators and developers for a standalone web application see an inefficiency, they develop tools to streamline the process. We have, for the last five years, been struggling with the limited tools that Wikidot gives us. By moving off of Wikidot to a better platform, we can engineer that system to not require so much babysitting.</p>

						 <p>I have to back Aelanna here. There are elements here I'd love to realize (like revitalizing PF), but I think we'd do well to establish a few clear goals and find out what we need to do in order to reach them, instead of shooting past them and trying to deal with things that aren't issues yet and might not be for a long time.</p> <p>I've been Junior Staff for something like three, maybe four months now and I honestly feel like I'm kind of left to my own devices. I'm fine with that; it's the way the site operates right now. I'll find stuff to do.</p> <p>But if we want to, for lack of a better word, professionalize, I think we need to learn to run this thing as if it's an actual organization before we even think of actually creating one. That means someone telling me what to do as opposed to me suggesting stuff I could do. It means setting goals, thinking about strategy, public relations and yes, also about money.</p>

						 <p>I'd also like to note that we can't really incorporate or do anything along those lines until the image credit-a-thon is done. One of the reasons we've been able to fly under the radar on images for so long is that the site has been pretty non-attention seeking. Well, I think we'd definitely get served some papers as soon as we did make ourselves more business-like. Even if we don't go down that road, which I hope we don't because it seems to make more issues than it solves, we probably still ought to wait until that's settled, so its at least one less thing to worry aboot.</p>

						 <p>I feel like yes, having a new site would be amazing. I would love to move to a new site and actually have our own place outside of Wikidot. That being said, I don't feel like making this into an organization is the best way to go about this. Who, exactly, is proposed to keep up with this and as a result get pay from working for the site? Do we all just assume staff? <em>Why?</em> Sure, the staff selection process isn't exactly the greatest or most reliable thing in the world, but it works for our purposes. Staff sees people on the site or on chat with promise of good ideas or leadership or other viabilities for staffing and moderating the wiki and puts them up to a vote for promotion. That's not bad, for this. Granted, it's not stupendously fantastic, but it seems to get the job done, mostly.</p> <p>On the other hand, being somewhat qualified to help run a writing community does not at all seem to mean that the same people would be just as qualified to take charge of something like this. You would not really be able to tell how proficient someone would be at this if you just looked at their forum posts, would you? Plus, you then turn a free, completely open writing site that basically everyone just does for fun into something else.</p> <p>Also, I am far from a lawyer and understanding any legal things whatsoever, but what exactly would we define as &quot;commercial&quot; or not in this case in a way that wouldn't violate CC?<sup class="footnoteref"><a id="footnoteref-138112-1" href="javascript:;" class="footnoteref" >1</a></sup></p> <p>My vote on this right now is that I really, really want to move off of Wikidot when PF/whatever alternative thing is finished, but I don't want to see the site become a business.</p> <div class="footnotes-footer"> <div class="title">Footnotes</div> <div class="footnote-footer" id="footnote-138112-1"><a href="javascript:;" >1</a>.
